Agreement to Terms
By accessing or using the Imperium IT website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
Services
Imperium IT provides information technology support services, including but not limited to network infrastructure support, hardware and software troubleshooting, cloud services management, cybersecurity consulting, and managed IT services. Specific service details and pricing are provided in separate service agreements or quotes.
User Responsibilities
When using our services, you agree to:
- Provide accurate and complete information
- Maintain the confidentiality of any account credentials
- Notify us immediately of any unauthorized access
- Use our services only for lawful purposes
- Not interfere with or disrupt our services or servers
- Comply with all applicable laws and regulations
Service Level Expectations
While we strive to provide reliable and timely IT support, service levels and response times may vary based on the specific service agreement. Emergency support availability and response times are defined in individual client agreements. We make reasonable efforts to minimize service interruptions but do not guarantee uninterrupted service.
Payment Terms
Payment terms are specified in individual service agreements or invoices. Unless otherwise stated, payment is due within 30 days of invoice date. Late payments may incur interest charges and may result in suspension of services. Clients are responsible for all costs of collection, including reasonable attorney fees.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMPERIUM IT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total liability for any claims arising from our services shall not exceed the amount you paid for the specific service giving rise to the claim during the 12 months preceding the claim.
Warranties and Disclaimers
WE PROVIDE OUR SERVICES "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that our services will be uninterrupted, secure, or error-free, or that any defects will be corrected. We make no guarantees about the results that may be obtained from using our services.
Data and Confidentiality
In providing IT services, we may have access to your confidential information and systems. We agree to maintain the confidentiality of your information and use it only for the purpose of providing services. You retain all ownership rights to your data. We recommend maintaining independent backups of all critical data.
Third-Party Services and Vendors
Our services may involve coordination with third-party software vendors, hardware manufacturers, internet service providers, and other technology providers. We are not responsible for the actions, products, or services of these third parties. Any disputes with third-party vendors should be resolved directly with them.
Intellectual Property
All content on our website, including text, graphics, logos, and software, is the property of Imperium IT or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our express written permission.
Termination
Either party may terminate services according to the terms specified in the service agreement. We reserve the right to suspend or terminate access to our services immediately if you violate these Terms of Service or engage in fraudulent, abusive, or illegal activity.
Indemnification
You agree to indemnify and hold harmless Imperium IT and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from your use of our services or violation of these Terms of Service.
Governing Law and Dispute Resolution
These Terms of Service shall be governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be resolved through binding arbitration in San Diego County, California, except that either party may seek injunctive relief in court for intellectual property violations.
Changes to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.
Severability
If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
